These Terms govern the DefendEye Device Protection Plan (the “Plan”) provided by DefendEye USA Inc. (“DefendEye”) to the customer identified in the applicable Purchase Agreement or Order (the “Customer”, “you”).

1.2 The Plan applies only to OverWatch drones purchased from DefendEye or an authorized DefendEye reseller and individually enrolled by serial number (each, a “Covered Drone”).

1.3 The Plan is a service and replacement commitment made by DefendEye as the manufacturer. It is not an insurance policy, it does not create an insurer relationship, and it does not replace any insurance you are required to carry under your own laws, regulations or contracts.

1.4 “Standard Warranty” means the manufacturer’s limited warranty supplied with your OverWatch system. The Plan is in addition to the Standard Warranty and does not reduce it.

2. The Plan covers one drone — and only the drone

2.1 One Plan covers one (1) drone. Each Plan enrolls a single serial-numbered drone. Coverage cannot be pooled across drones, shared between drones, transferred to a different drone, or applied to a drone you buy later. If you want more than one drone covered, you enroll each drone separately.

2.2 The Plan covers the drone only. “Drone” means the OverWatch air vehicle itself. The following are not covered by this Plan under any circumstances:

the Ground Control Module;

the Launch Module Charger;

the Launch Module;

ground control equipment, tablets, radios, cables, cases and chargers;

propellers and other consumables; and

payloads, accessories and spare parts, whether supplied by DefendEye or by anyone else.

2.3 Items excluded from this Plan remain covered by the Standard Warranty on its own terms. If the Ground Control Module or Launch Module Charger fails, raise it as a warranty matter, not as a Plan claim.

2.4 If a drone is damaged in the same incident as other equipment, the Plan responds to the drone. Damage to the other equipment is assessed separately under the Standard Warranty.

3. When coverage starts and how long it lasts

3.1 Coverage begins on the date the Covered Drone is delivered to you (the Delivery Date), as shown by the carrier’s delivery record. Where the drone is sold through a reseller, the Delivery Date is the date of delivery to you, not the date of delivery to the reseller.

3.2 Coverage ends twelve (12) months after it begins, unless it ends earlier under Section 5.4 (replacement used) or Section 11 (cancellation or termination).

3.3 Enrollment must occur at the time of purchase. The Plan can be bought for any drone, in a kit or as a resupply drone, on the same order as that drone. A drone cannot be added to the Plan after it has been purchased.

4. What the Plan covers

4.1 The Plan covers any significant damage to a Covered Drone that makes it inoperable, where that damage arises from operational use during the coverage term. This includes crash, hard landing, collision, water ingress, damage during launch or recovery, and mechanical or electrical failure in normal use.

4.2 The Plan does not cover a lost drone. If the drone is not recovered — lost over water, lost beyond recoverable range, or destroyed so completely that nothing usable remains — there is no claim. Every claim requires the return of the drone’s main flight controller, which is explained in Section 6.

4.3 Damage that does not stop the drone from operating, including cosmetic damage, is not covered. Section 7 lists the full exclusions.

5. Your one replacement drone

5.1 The Plan provides one (1) replacement drone per Covered Drone. For a valid claim, DefendEye will supply one replacement drone of the same model and equal or better specification. The replacement may be a new or factory-certified refurbished unit.

5.2 Because this Plan covers the drone only, a replacement consists of the drone alone. You keep and continue to use your existing Ground Control Module, Launch Module Charger and Launch Module.

5.3 DefendEye may, at its option, repair and return your drone instead of replacing it where repair is practical. A repair does not use up your one replacement.

5.4 Once the replacement drone ships, the Plan for that Covered Drone is fulfilled and ends. There is no second replacement, no residual coverage for the remainder of the twelve months, and no refund. The replacement drone, like all drones, is supplied without warranty, and may be enrolled in a new Plan if it is eligible.

5.5 DefendEye will use commercially reasonable efforts to ship the replacement within thirty (30) business days of claim approval, subject to Section 9 (Export Controls). DefendEye may offer an advance replacement where operationally justified and stock allows.

5.6 The Plan provides a replacement drone or a repair only. DefendEye does not pay cash settlements, refund the purchase price, or compensate for mission delay, loss of use, or loss of data.

6. The flight controller must come back

Read this section before you fly. DefendEye cannot fulfill any claim under this Plan unless the main flight controller from the Covered Drone is returned. If the drone is not recovered, there is no claim.

6.1 Return of the main flight controller is a condition of every claim. The main flight controller is a chip inside the drone’s airframe. It carries the serial identity and flight history of the drone, and it is how DefendEye verifies that the drone you are claiming for is the drone you enrolled and that the incident falls within the Plan.

6.2 Return the whole drone or the whole recovered wreckage, using the return authorization number DefendEye issues when it receives your claim notice. Do not attempt to remove the flight controller yourself. Doing so can destroy the chip and, with it, your claim.

6.3 If the main flight controller cannot be returned, or is returned in a condition that prevents DefendEye from reading it, the claim cannot be fulfilled. This includes a drone that is lost over water, lost beyond recoverable range, or destroyed so completely that no readable flight controller remains. Photographs, flight logs, telemetry and incident statements support a claim, but they do not substitute for the chip.

6.4 A returned drone, its wreckage and its flight controller become DefendEye property once a replacement ships.

6.5 If you recover the flight controller after DefendEye has declined a claim for non-return, you may resubmit the claim, provided the coverage term has not ended and the original claim notice was given on time.

7. What the Plan does not cover

In addition to the equipment excluded by Section 2.2, the Plan does not cover:

a drone whose main flight controller is not returned, including a drone that is not recovered (see Section 6);

intentional destruction, misuse, or operation in deliberate disregard of the operator manual;

operation by personnel who have not completed DefendEye-approved or equivalent operator training;

unauthorized modification, disassembly or repair, or use of non-DefendEye payloads or firmware not approved in writing;

operation outside published environmental, weight or flight envelope specifications;

war, hostile action, or electronic warfare;

seizure, confiscation, capture or detention of a drone by any government or armed group;

theft, loss or disappearance of the drone, whether or not in flight;

cosmetic damage that does not affect function, and normal wear of consumables such as propellers beyond their rated cycle life;

nuclear, chemical or biological contamination; and

any use, transfer or location that breaches Section 9 or applicable sanctions.

8. How to make a claim

8.1 Notify DefendEye at Support@DefendEye.com within thirty (30) days of the incident, using the DefendEye Device Protection Plan Claim Form.

8.2 On receiving your claim notice, DefendEye issues a return authorization number. Return the drone or its recovered wreckage, including the main flight controller, to the facility DefendEye designates. You pay the cost of shipping the drone to DefendEye; DefendEye pays standard ground shipping of the repaired or replacement drone back to you within the United States.

8.3 DefendEye will approve or decline your claim as soon as it has received and read the returned main flight controller and your complete submission, and will state its reasons for any decline.

8.4 You are not required to disclose classified or operationally sensitive information. You may redact mission details, provided the remaining information is sufficient for DefendEye to verify the serial number, the date, and the nature of the incident.

9. Export controls and end use

9.1 All repairs, replacements and returns are subject to U.S. export control laws and regulations, including the Export Administration Regulations and, where applicable, the International Traffic in Arms Regulations, as well as any applicable foreign import laws.

9.2 DefendEye’s obligations are conditional on any required export licenses or authorizations being valid at the time of shipment. The timelines in Section 5 are extended by any period required to obtain or amend such authorizations.

9.3 Covered Drones and replacements remain subject to the end-use and end-user commitments you made at purchase. You must not re-export, transfer or retransfer them except as authorized.

9.4 If DefendEye is legally prohibited from performing, it may suspend or terminate the Plan under Section 11.

10. Your responsibilities

To keep coverage in force, you will:

operate Covered Drones in accordance with the operator manual and applicable airspace rules;

install firmware updates designated by DefendEye as mandatory within forty-five (45) days of DefendEye’s update notice;

Return the main flight controller board

11. Transfer, cancellation and termination

11.1 The Plan is non-transferable, including between agencies or affiliates, without DefendEye’s prior written consent and any required export authorization.

11.2 You may NOT cancel the Plan for a Covered Drone.

11.3 DefendEye may terminate the Plan on written notice if you materially breach these Terms, fail to pay for the Plan, or if performance becomes unlawful due to sanctions or export restrictions. No refund is given for any unused portion of the Plan, to the extent permitted by law.

12. Limits of liability

12.1 DefendEye’s total liability under the Plan for any Covered Drone is limited to the cost of repairing or replacing that drone as described in Section 5.

12.2 To the maximum extent permitted by law, DefendEye is not liable for indirect, incidental, consequential or special damages, including loss of mission, loss of data, or third-party claims arising from operation of a Covered Drone.

12.3 The Plan is in addition to, and does not limit, the Standard Warranty or any non-excludable rights you have under applicable law.

13.
